AUTHORIZED RETAILER TERMS & CONDITIONS FOR LOVE SCENTS CANDLE®

To protect and promote our brand and reputation for providing high-quality products, Love Scents Candle®️ (“Love Scents Candle”) has established these Authorized Retailer Terms & Conditions (the “Terms”), effective immediately, which apply to authorized retailers of Love Scents Candle products (the “Products”). By purchasing from Love Scents Candle for retail sale, you (“Retailer”) agree to adhere to the following Terms. Please read the Terms carefully.

1. Purchase Orders.

Orders for Products made by Retailer shall be handled pursuant to the then-current product order, shipment, and return procedures, which may be amended by Love Scents Candle at any time in its sole and absolute discretion. Love Scents Candle reserves the right to reject any orders, in whole or in part, for any reason. Any additional or different terms proposed by the Retailer are rejected unless expressly agreed to in writing by Love Scents Candle.

2. Manner of Sale.

Retailer shall sell the Products only as set forth herein. Sales in violation of the Terms are strictly prohibited and may result in Love Scents Candle’s immediate termination of Retailer’s account, in addition to other remedies. Specifically:

(a) Retailer shall sell Products solely to end users.

(b) Retailer shall not sell, ship, or invoice Products outside of the United States or without prior written consent.

(c) Retailer may market and sell via their own website, ensuring all contact details are clear. Sales through unauthorized third-party sites are strictly prohibited.

(d) Retailer shall comply with all applicable laws regarding advertising, sale, and marketing.

3. Product Care & Quality Controls.

Retailer shall care for the Products as follows:

(a) Inspect Products for damage upon receipt and during storage.

(b) Store Products properly, away from direct sunlight and extreme conditions.

(c) Cooperate with Love Scents Candle regarding recalls or safety information.

(d) Sell Products in original packaging; alterations or repackaging are prohibited.

(e) Retailer must be knowledgeable about the Products to assist customers appropriately.

4. Intellectual Property.

Love Scents Candle owns all rights, titles, and interests in its brand and associated intellectual property (“IP”). Retailer is granted a limited, non-exclusive, non-transferable license to use the IP solely for marketing and selling the Products, which ceases upon termination of the Retailer’s status.

5. Termination.

If Retailer violates any of the Terms, Love Scents Candle reserves the right to terminate these Terms immediately, which will result in the immediate loss of Retailer status.

6. Availability of Injunctive Relief.

In case of a breach or threat of a breach of these Terms, Love Scents Candle shall be entitled to injunctive and other equitable remedies, alongside any other remedies available.

7. Miscellaneous.

Love Scents Candle reserves the right to update, amend, or modify these Terms upon written notice to Retailer. Continued use of Products following such notice constitutes acceptance of amended terms.

TO THE FULLEST EXTENT PERMITTED BY LAW, THE PARTIES EACH WAIVE ALL RIGHT TO A TRIAL BY JURY IN ANY action arising out of these Terms.
